Trajectory currently uses this Website primarily for:

A product page, product price, photograph, description or purchase button displayed on this Website does not by itself constitute a direct Website sale.

4. THIRD-PARTY MARKETPLACE TRANSACTIONS
Once you leave our Website and proceed to a Third-Party Marketplace, your transaction is processed through that marketplace.
The marketplace listing, seller identified on that listing or invoice, marketplace terms, payment terms and other applicable transaction documents determine the parties and conditions applicable to that particular purchase.
Depending upon the marketplace and fulfilment arrangement, Trajectory itself may be identified as the seller, manufacturer, brand owner or another responsible party, or the product may be offered by another seller.
Nothing in these Terms is intended to eliminate any legal obligation that may apply to Trajectory where Trajectory is the seller, manufacturer or another responsible party under applicable law.
However, the technical and transactional process for a marketplace purchase—including checkout, payment, order administration, shipment tracking, cancellation, return and refund—is administered through the applicable Third-Party Marketplace.
5. NO CONTRACT OF SALE IS CREATED BY MERELY USING THIS WEBSITE
Merely:

viewing a product;

viewing a price;

clicking a marketplace link; or

being redirected to a Third-Party Marketplace
does not by itself create a consumer contract of sale through www.trajectoryindia.com.
Any marketplace purchase is concluded through the applicable Third-Party Marketplace according to the transaction information and terms presented there.
Separate direct corporate, wholesale, institutional or other B2B transactions entered into with Trajectory may be governed by separate written terms.
6. ELIGIBILITY AND LEGAL CAPACITY
You must be legally capable of entering into a binding contract under applicable law where your use of the Website involves contractual activity.
If you are not legally competent to contract, you should use the Website only under the supervision of a parent, guardian or other person legally authorised to act for you.

9. WEBSITE PRICES AND MARKETPLACE PRICES
A price, MRP, discount or promotional figure displayed on the Website may be provided for product-information or marketing purposes.
The actual price payable for a marketplace transaction is the price displayed by the applicable Third-Party Marketplace as part of that transaction, subject to applicable law.
Marketplace prices may differ from Website prices because of:

Promotional prices, discounts, offers, coupons, bundles, free gifts or other promotional benefits may be subject to separate conditions.
Such promotions may:

11. PRODUCT AVAILABILITY
Displaying a product on the Website does not guarantee:

12. ORDERS AND PAYMENTS
Trajectory does not currently process consumer product orders or payments through www.trajectoryindia.com.
For marketplace purchases:
Order placement occurs through the applicable marketplace.
Payment processing is performed through the marketplace and/or its authorised payment providers.
Payment authentication is governed by the marketplace, bank, card network, UPI provider, wallet provider or other relevant payment service.
Do not send Trajectory:

credit or debit card PINs;

CVVs;
-
UPI PINs;
-
OTPs;
-
bank passwords;
-
marketplace passwords; or
-
other payment authentication credentials.
Trajectory will not require such credentials to investigate an ordinary product or customer-support issue.
13. SHIPPING AND DELIVERY
Shipping and delivery for marketplace purchases are governed by our published Shipping Policy and, principally, the fulfilment terms of the marketplace where the purchase is completed.
The applicable marketplace or seller may determine:

estimated delivery dates;

courier;
-
delivery charge;
-
serviceability;
-
tracking;
-
delivery attempts;
-
return-to-origin procedure; and
-
other logistical matters.
Trajectory does not independently guarantee marketplace delivery dates.
For order-specific tracking or delivery issues, customers should ordinarily use the order-management facilities of the marketplace where the purchase was made.
14. CANCELLATIONS, RETURNS, REPLACEMENTS AND REFUNDS
Consumer product purchases completed through Third-Party Marketplaces are subject to the applicable marketplace's transactional process and our published Return and Refund Policy.
For such transactions:
Cancellations should be initiated through the marketplace.
Returns should be initiated through the marketplace.
Replacements should be requested through the marketplace where available.
Refunds are processed through the marketplace and/or its applicable payment provider.
Trajectory does not currently maintain a separate consumer Website refund-processing facility because consumer product payments are not collected through www.trajectoryindia.com.
Nothing in these Terms prevents or restricts a statutory right or obligation relating to defective, deficient, spurious, unsafe, materially misdescribed or otherwise non-conforming products.
15. DAMAGED, DEFECTIVE, INCORRECT OR INCOMPLETE PRODUCTS
Where a marketplace purchase arrives:

damaged;

materially defective;

incorrect;
-
incomplete;
-
tampered with; or
-
materially different from what was ordered,
you should promptly initiate the appropriate complaint, replacement, return or refund process through the marketplace within its applicable time limit.
Where reasonably possible, retain:

shipping label;

invoice;

accessories;
-
photographs; and
-
videos
that may assist investigation.
You may also contact Trajectory for appropriate product-quality or authenticity assistance.
However, contacting Trajectory separately should not be used as a reason to miss a marketplace return or complaint deadline.
16. NO COMMERCIAL OR VOLUNTARY PRODUCT WARRANTY
Trajectory does not provide any separate voluntary, manufacturer, extended or commercial product warranty for products displayed on or referred through www.trajectoryindia.com.
No Website statement, advertisement, social-media post, packaging statement, product description, customer communication or promotional material should be interpreted as creating a separate voluntary product warranty unless Trajectory expressly enters into a written legally binding warranty arrangement.
Trajectory does not currently operate:

product warranty registration;

extended warranty;

paid warranty; or

a separate warranty-claim programme
for products referred through this Website.
The absence of a voluntary commercial warranty does not exclude or limit any statutory right or remedy that cannot lawfully be excluded.

19. TESTIMONIALS, REVIEWS AND INDIVIDUAL RESULTS
Testimonials, reviews, photographs, videos and statements describing individual experiences represent those particular experiences.
Individual experiences do not guarantee that all users will obtain identical results.
Where an endorsement, testimonial or influencer communication involves a material relationship that must legally be disclosed, the relevant disclosure should be made in accordance with applicable law.

The stylised “T” device mark is separately registered under Trade Mark No. 5612318 in Class 20. All rights reserved.
The relevant TRAJECTORY registered trade marks are registered in the name of Trajectory Marketing LLP.
The TRAJECTORY word mark under Trade Mark No. 5071744 in Class 20 includes, among other goods, neck pillows and travel pillows.
The Website is operated by Trajectory Marketing Private Limited.
Nothing contained in these Terms transfers ownership of registered trade marks from their registered proprietor.
Unless otherwise stated, rights subsisting in original:

Nothing in these Terms prohibits legitimate descriptive, nominative, comparative or other use permitted under applicable law.
27. WEBSITE CONTENT, SCRAPING AND AUTOMATED USE
Except where permitted by applicable law or expressly authorised in writing, you must not:

Shopify provides infrastructure used to operate portions of the Website.
Trajectory does not currently use Shopify checkout on this Website to complete consumer product purchases.
Use of Shopify-powered Website functionality may involve Shopify's applicable technology, cookies, privacy practices and service terms.
31. PROHIBITED USES
You must not use the Website or its Services to:

34. CORPORATE GIFTING, WHOLESALE, RETAIL, DISTRIBUTION AND B2B TRANSACTIONS
Corporate gifting, wholesale, retail supply, distribution, customised product and other B2B transactions may be entered into directly with Trajectory outside the consumer Website marketplace-redirection model.
Such transactions may be governed by:

another liability that cannot lawfully be excluded.
Subject to the foregoing, Trajectory shall not, to the maximum extent permitted by law, be responsible for remote or indirect losses resulting solely from:

inability to access the Website;

independent marketplace downtime;
-
independent third-party technical failures;
-
an external website;
-
an independent third-party privacy practice; or
-
another event outside our reasonable control.
Where a claim concerns a marketplace transaction, the rights and obligations of the seller, marketplace, manufacturer and other relevant parties will be determined under applicable law and the relevant transaction.
For direct B2B transactions, where legally permitted and unless otherwise agreed in writing, Trajectory's aggregate contractual liability arising from a particular commercial transaction shall ordinarily not exceed the amount paid to Trajectory for the goods or services giving rise to that claim.
This B2B limitation does not apply where applicable law prohibits such limitation.
38. INDEMNIFICATION
To the extent permitted by law, you agree to indemnify Trajectory against third-party claims, losses and reasonable legal costs arising directly from your:

unlawful use of the Website;
-
fraudulent conduct;
-
deliberate infringement of third-party intellectual property;
-
material breach of these Terms;
-
false representation of affiliation with Trajectory; or
-
submission of material for commercial reproduction where you lacked the required rights.
This provision does not require a consumer to indemnify Trajectory for Trajectory's own negligence, unlawful conduct, defective goods or another liability that cannot lawfully be transferred.
39. FORCE MAJEURE
To the extent permitted by applicable law, Trajectory will not be responsible for failure or delay caused by circumstances beyond its reasonable control, including:

natural disasters;

severe weather;
-
fire;
-
flood;
-
war;
-
civil disturbance;
-
epidemics or pandemics;
-
governmental restrictions;
-
transport disruption;
-
strikes;
-
communication failures;
-
infrastructure failures; or
-
comparable force-majeure events.
This clause does not remove statutory remedies that remain available to consumers.
Marketplace delivery and transactional issues remain subject to applicable marketplace policies and law.

Where applicable under Indian e-commerce law, consumer complaints will be acknowledged within 48 hours of receipt and redressed within one month from the date of receipt.
When submitting a complaint, please provide sufficient information for us to understand and investigate it.
Where your grievance concerns a specific:

marketplace payment;

marketplace shipment;

marketplace return; or

marketplace refund,
you should also use the grievance or customer-support mechanism of the Third-Party Marketplace through which the transaction was completed.
Nothing in this grievance mechanism prevents a consumer from exercising any statutory remedy available under applicable law.
41. INTELLECTUAL PROPERTY COMPLAINTS
If you believe material appearing on the Website unlawfully infringes intellectual property owned by you, please provide:

identification of the intellectual property concerned;

evidence or basis of your rights;

identification of the allegedly infringing material;

relevant Website URL where applicable; and

sufficient information for us to evaluate the complaint.
Knowingly submitting false or fraudulent infringement claims may expose the complainant to liability under applicable law.
42. CONSUMER RIGHTS
Nothing in these Terms is intended to:

waive mandatory consumer rights;

eliminate statutory remedies;

exclude legally non-excludable product liability;

permit misleading advertisements;

permit unfair trade practices; or
-
deprive consumers of a competent Consumer Commission or other legally available forum.

43. CONSUMER DISPUTES
A consumer may use such Consumer Commission, court, statutory authority or other forum as is available under applicable law.
Nothing in these Terms requiring communication with Trajectory or a marketplace should be interpreted as preventing a consumer from exercising a statutory remedy.
44. GOVERNING LAW
These Terms and use of the Website are governed by the laws of India.
This governing-law clause does not deprive a consumer of any jurisdiction or forum that mandatory consumer law makes available to that consumer.
45. B2B AND COMMERCIAL DISPUTE RESOLUTION
This section applies only to business, wholesale, reseller, distributor, corporate or other commercial disputes that do not constitute consumer disputes and are not governed by a separate dispute-resolution agreement.
The parties should first attempt in good faith to resolve the dispute through written negotiations for 30 days following written notice of the dispute.
If unresolved, the dispute may be referred to arbitration under the Arbitration and Conciliation Act, 1996, as amended.
The arbitration shall be conducted by a sole arbitrator mutually appointed by the parties or appointed in accordance with applicable law where agreement cannot be reached.

Subject to applicable arbitration law and any separate agreement, courts at New Delhi shall have jurisdiction over such B2B commercial disputes.
This section does not apply to or restrict statutory consumer remedies.
46. ELECTRONIC COMMUNICATIONS AND RECORDS
Where permitted by law, notices, policies, approvals, communications and other records may be provided electronically.
Electronic communications and records will have such legal effect as is provided under applicable Indian law.
You are responsible for ensuring that contact information voluntarily provided to us is accurate.
47. ORDER OF PRECEDENCE
Where relevant:

mandatory applicable law prevails;

a transaction-specific written agreement prevails for the transaction it governs;
-
marketplace transaction terms govern matters controlled by the marketplace;
-
product-specific or promotion-specific conditions may govern the particular product or promotion; and
-
these general Website Terms apply otherwise.

should be read together with these Terms.
No policy can override a mandatory legal right.
48. SEVERABILITY
If a provision of these Terms is held to be unlawful, invalid or unenforceable, that provision will be interpreted, limited or severed only to the extent necessary.
The remaining provisions will continue to apply.
49. NO WAIVER
Failure or delay by Trajectory in exercising a legal or contractual right does not automatically constitute a permanent waiver of that right.
A waiver concerning one circumstance does not automatically waive rights concerning another circumstance.
50. ASSIGNMENT AND BUSINESS RESTRUCTURING
Where permitted by law, Trajectory may transfer rights or obligations relating to the Website as part of a legitimate:

business transfer;

corporate reorganisation; or

sale of relevant business assets.
Any such transfer remains subject to applicable law and does not reduce rights that cannot legally be reduced.
